Well, almost. :)

The U10 has a different PSU, with an extra connector, which allows you 
to use the UPA slot on the board.  You can't use the UPA slot on an 
Ultra 5 unless you replace the power supply, and figure out how to 
squeeze the card into the box.

Also, the U10 has an extra PCI slot on its riser, IIRC.
