I've experienced something similar with UltraAXi boards. If output-device is set
to screen, the system will use ttya if there is no screen. If output-device is
something more special, i.e. screen:r1280x1024x75 the fallback doesn't work.
Same with the keyboard: input-device=keyboard is ok, input-device=keyboard:de
(for a German PS/2 keyboard, with PS/2 keyboards the layout must be set this way
manually) won't switch back to ttya. This took me an hour to figure out.

The firmware password is effective if a 'boot' with default option fails, i.e.
someone could have set the passwords without anybody else noticing it. See your
NVRAM security settings (I don't remember them now)
If you have solved your first problem, the second one may have gone as well.
