Off the top of my head, the issues could be:

Available/idle hardware to be used(50 pin vs. SCA SCSI drives, 72 vs 200(?) pin memory)
Physical constraints (the Ultra 1 is a fairly large box, in comparison to an LX)
Power consumption (the Ulra 1 *might* have a beefer power supply, and for a 24x7 box it could be an issue)
