mkdir -p /usr/sfw
cd /opt/sfw
tar cpf - . | ( cd /usr/sfw && tar xpvf - )

What is tar doing incorrectly?

You -can- use ufsdump/ufsrestore, but tar is generally faster for this
sort of thing.
