There's a difference between "legally" when talking about copyright law
and "legally" when talking about the license under which your copy was
sold.

"Fair use" would suggest that, if transfer your copy and don't have
access to that e-book anymore, then you should be able to resell it.
But that doesn't work well with the company's desire to ensure that only
one person has access to a copy.  Hence all the copy-protected hardware
bills that are coming in the US Congress now.

Companies wonder why people rip them off when they operate under the
assumption that people are dishonest and need to be policed.  Grrr...

Probably not legally but I think that you should be able to and wouldn't
loose any sleep over it.
